Standard Terms & Conditions


1 Scope

1.1 The standard rates set out in clause 3 (‘Standard Rate Tables’) and the following terms and conditions apply to the deployment of the Proteck Shipping(Her and after called SUPPLIER) Personnel from Mumbai Region carrying out:

• testing and service of equipment supplied by supplier; and

• repair/rebuilding and testing of equipment.

1.2 For all field services provided by the Supplier, the applicable Indian Laws to apply. In case of any dispute Mumbai to be place of arbitrations and applicable jurisdiction area.

1.3 For the supply of spare parts the Proteck Shipping would endeavor to supply the most economical and best available. Proteck Shipping sources spares from A grade OEM suppliers however does not extended any warranty of the OEM or by its own on the supplied spare parts.

1.4 For repairs and upgrades carried out at any Supplier sites in Mumbai Region the port logistics to be on the clients account which may include but not be limited to Port Passes, local permissions or any permits which may be required.

1.5 While working at site within the port limits, in order to expedite the work we recommend that the suppliers personnel stay on board at site. In such cases the accommodation is to be provided at clients cost.

1.6 These terms and conditions for field service personnel take precedence over any other terms and conditions that may be separately stated, unless expressly agreed otherwise in writing by the Supplier prior to the deployment date.

1.7 In case of any conflict between the Supplier’s quotation and/or Binding Order and these terms and conditions, the Supplier’s quotation and/or Binding Order will prevail.

1.8 The Supplier may revise the rates and charges set out in the rate tables below and/or these terms and conditions at any time upon notice to the Customer.

2 Prices and payment

2.1 The Supplier’s Normal Time, Daily Rate and Overtime rates based on the skill level of the Personnel are set out in Tables 1 and 2. The skill level is not necessarily the same as the Personnel’s designation.

2.2 For services performed in Mumbai Region, the Normal Time, and Overtime rates set out in Table 1 will apply as applicable.

2.3 For Offshore Services, the Daily Rate and Overtime rates set out in Table 2 will apply as applicable.

2.4 For services performed in Mumbai Region which have duration of 4 hours or less, a minimum charge of 4 hours per day per person will apply at Normal Time rates quoted in Table 1.

2.5 Offshore rates as set out in Table 2 will be calculated in accordance with the proportion of the Shift which falls within either Daily Rate and/or Overtime, with a minimum Daily Rate charge for services as applicable.

2.6 To cover travel and other expenses incurred by the mobilization of Supplier’s Personnel from the Service Base to the applicable Geographical Zone, Daily Expenses and Mobilization Expenses are chargeable based on the standard rates set out in clause 4 (‘Expenses and Geographical Zones’). The Binding Order will confirm the applicable Geographical Zone for the services.

2.7 Stand-by Time will be charged as follows:

• for Mumbai Region services this will be Normal Time as quoted in Table 1, up to a maximum of 8 hours per day; and

• for Offshore Services Stand-by Time will be the Daily Rate illustrated in Table 2.

• where a combination of Stand-by Time, Normal Time and/or Overtime is incurred in a day, a pro-rata calculation will be used for each category (ie. Stand-by Time, Normal Time, Overtime), with a minimum Daily Rate charged as applicable.

2.8 The Deployment Date of Personnel shall be set out in the Binding Order. If the Customer requires the Deployment Date to be delayed or postponed for any reason within the Customer’s control, or requires the Personnel to be made available on a stand-by basis for any dates, then Supplier reserves the right to charge the Customer for the availability of the Personnel and any other additional costs incurred.

2.9 In cases where security and/or immigration requirements demand that special steps are taken in excess of the normal provisions under the Mobilization Expenses, the Supplier reserves the right to notify the Customer accordingly, and prior to the deployment of the Personnel, both the Supplier and the Customer will agree to such additional costs. The Supplier reserves the right to decline sending Personnel to certain locations, as may be notified to Customer from time to time.

2.10 The Parties agree that the expertise level and the quantity of Personnel deployed to the Customer shall be entirely at the discretion of the Supplier as specified in the Supplier’s quotation and confirmed in the Binding Order prior to the Deployment Date.

2.11 In the event of cancellation by the Customer fewer than 48 hours prior to the Deployment Date, then the Supplier reserves the right to charge the Customer a cancellation charge of one Daily Rate.

2.12 A timesheet will be presented upon completion of the work and/or at the end of each working week for all work performed, which the Customer’s representative shall sign on site. In case the Customer’s representative is not available, the Supplier’s project manager assigned to the job shall sign on behalf of the Customer, which shall be binding.

2.13 While the suppliers team is working offshore, i.e on a vessel at anchor or when sailing as a riding squad, the boarding and lodging to be at site on the account of the client.

2.14 In the table the daily expenses would be charged on the daily basis per team member whereas the mobilization would be charged every time whenever the team is mobilized or demobilized and again it is per member.

2.15 Any amendment to section 2.14 will have to be expressly agreed between the supplier and clients in writing.

2.16 The customer shall at its own cost provide all the equipment specific tools required for the work. In order that the work may be started immediately on arrival of the personnel and may be executed without any hindrance, all such equipment’s are to be made available on site on arrival of the supplier technicians.

2.17 The work shall be carried out in a safe and healthy environment. All the necessary safety and precautionary measures shall have been taken before work is started and shall be maintained throughout the work.
